TERMS AND CONDITIONS VTON BV

Terms and Conditions of: VTON BV Registered at the Chamber of Commerce Leeuwarden under number 67155693.

Article 1. Definitions

In these Terms and Conditions, the terms included in this article have the following meanings:

"Client: the natural or legal person using the services of VTON BV.
"Service": the methodology including the online services of VTON BV used by the client.
"Parties": VTON BV and the client.
"Written": "written" in these general terms and conditions also means: by e-mail, or any other means of communication which, given the state of the art and prevailing opinions in society, can be equated with this.
"VTON BV", located at: Abe Lenstra Boulevard 19, Heerenveen.
"VTON BV account": an account created for the client enabling the client to use the services.
"Website": the website www.feeton.eu maintained by VTON BV for its services.

Article 2. Applicability

These general terms and conditions apply to all offers and agreements regarding the services of VTON BV.
Provisions deviating from these general terms and conditions only form part of the agreement between the parties if and insofar as the parties have expressly agreed to this in writing.
The possible non-application of a (part of a) provision of these general terms and conditions does not affect the applicability of the other provisions.
If at any time VTON BV fails to demand performance of what the parties have agreed, this does not affect VTON BV's right to demand performance at a later date.
The client cannot invoke the fact that the general terms and conditions have not been provided if VTON BV has provided the same general terms and conditions to the client several times (whether or not via the website) and has referred to them.

Article 3. Agreements, assignments

Oral agreements will only bind VTON BV after being confirmed in writing by VTON BV or once VTON BV has commenced the execution of the actions with the client's consent.
Client assignments must be accompanied by a clear, written description of the nature of the assignment.
Changes in an assignment provided in writing must also be done in writing and accompanied by a clear description of the changes. Changes are only binding on VTON BV if confirmed in writing by them.
Supplements or amendments to the general terms and conditions or other changes or additions to the agreement will only become binding after written confirmation by VTON BV.

Article 4. Offers, quotations

All offers, quotations, price lists, etc. of VTON BV are non-binding, unless they contain a term for acceptance. If a quotation or offer contains a non-binding offer and this offer is accepted by the client, then VTON BV has the right to revoke the offer within 2 working days after receiving the acceptance.
The prices or rates used by VTON BV, as well as the prices or rates stated in offers, quotations, price lists, etc., do not include VAT and any costs. These costs may include administrative costs and invoices from third parties. Unless expressly stated otherwise in writing.
A composite price quote does not oblige VTON BV to provide part of the services included in the offer or quotation at a corresponding part of the price.
Prices or rates in quotations are based on data provided by the client at the time of the request. If this data is subsequently changed, this may have consequences for the prices or rates.
If the acceptance by the client deviates from the offer, VTON BV is not bound by it. In this case, no agreement has been concluded, unless the parties have expressly agreed otherwise in writing.
Information in brochures, promotional material, and/or on the VTON BV website is as accurate as possible, but is only indicative. No rights can be derived from this, unless the parties have expressly agreed otherwise in writing.
All costs that could not be foreseen in the quotation and that arise because the client makes changes to the assignment will be charged to the client.

Article 5. Involvement of Third Parties

If and to the extent necessary for the proper performance of the agreement, VTON BV has the right to have certain activities carried out by third parties. This is at the discretion of VTON BV.

Article 6. Confidential Information

VTON BV undertakes to keep confidential all information obtained from the client in connection with the conclusion and execution of the agreement, of which it knows or reasonably should have known that this information should be treated confidentially. This is unless VTON BV is required, on the basis of legislation and/or regulations or a court decision, to provide said information to any third party and VTON BV cannot invoke a legal or judicial privilege.
VTON BV will take all reasonably necessary precautions to keep confidential information received from the client confidential.
VTON BV guarantees that its staff and other persons involved in any way in the execution of the agreement will comply with the confidentiality obligation as referred to in this article.
VTON BV is allowed to publish on the services and activities performed by him, as well as to reuse methods, provided the privacy of the client is safeguarded.

Article 7. Risk of Information Storage

VTON BV undertakes to ensure careful storage of data or information originating from the client. Unless proven otherwise, VTON BV is deemed to have fulfilled this obligation.
However, the client bears the risk of any damage or loss of data or information stored by VTON BV or third parties if the damage or loss is due to intent and/or gross negligence of VTON BV, its management and/or its supervisory staff.

Article 8. Registration, activation of VTON account

An account will only be active once the client has completed the necessary steps for registration, filled in all requested data correctly and completely, and the registration has been accepted by VTON BV. The client will be informed by VTON BV via e-mail about such acceptance. If the data entered by the client is incorrect or incomplete, VTON BV will request the client by e-mail to enter the correct data within 14 days. After this period, the registration will be cancelled.
VTON BV reserves the right to refuse a registration without giving reasons at all times.
Depending on the type of service and the number of services the client receives from VTON BV, the account will be filled with programs desired by the client by VTON BV - for the sole purpose of this service.

Article 9. Data

The client ensures that the data provided by him at registration or at a later time to VTON BV is correct and complete. Changes to this data must be communicated to VTON BV by the client as soon as possible by adjusting it in the account or by notifying VTON BV by e-mail.
The client indemnifies VTON BV against the consequences resulting from incorrectness and/or incompleteness of the data.
The data provided by the client will be registered by VTON BV in accordance with the Dutch Personal Data Protection Act for the following purposes:
1. 1. providing the agreed services between the parties;
  2. informing the client about developments regarding the website, services, and/or new services.
2. The data provided by the client will not be disclosed to any third party by VTON BV without the prior explicit consent of the client unless VTON BV is obliged by law or regulation or court order to provide this data to third parties and VTON BV cannot invoke the right to refuse to provide information.
3. Data of members and employees of the association can be shared with stakeholders of that same association, only for information and evaluation of the use and statistics necessary for organizing teams or other parts of the association. This includes name, email addresses, and the use of the apps.
4. The above also applies to the data of the users who use the feeton play app. This also includes age and statistics such as: attendance at training sessions, goals, effort, and football actions. This is solely to provide the club with an overview on the basis of which they can organize teams and monitor growth and progress within their association.

Article 10. General Obligations of Client

The client must ensure that:
1. 1. 1. the data or information required for the performance of the agreement is provided to VTON BV in the desired form and at the desired times;
    2. If the client is not a natural person, a designated contact person is appointed within the client's organization who is authorized to make decisions and perform actions on behalf of the organization necessary for the performance of the agreement;
    3. the information carriers, electronic files, software, etc. provided by the client to VTON BV comply with the agreed specifications and are free of viruses and/or defects.
  2. The client must ensure that the data provided are correct and complete. The client indemnifies VTON BV against the consequences resulting from incorrectness and/or incompleteness of the data.
  3. The client must ensure and is responsible for the safety and confidentiality of his username and password. The client is responsible for - whether or not permitted - the use of his username and password and the data resulting from his registration, and is obliged to immediately inform VTON BV of any suspected misuse of his username and password.
  4. The services provided by VTON BV under the agreement must only be used for legal and legitimate purposes. Moreover, these may only be used in such a way that no rights of third parties are infringed, including but not limited to intellectual property rights.
  5. The client indemnifies VTON BV against any claims from third parties related to the way the client uses the services provided by VTON BV.
  6. The client is not allowed to:
    1. 1. act contrary to netiquette;
        
        download, share, copy, or lend out material from the apps to other associations or individuals;
        
        infringe on intellectual property rights of third parties;
        
        engage in so-called "hacking", including gaining unauthorized access to computer systems, software, and/or data of third parties;
        
        distribute advertisements, messages, and/or opinions in a manner that can be considered "spamming";
        
        encourage illegal activities or engage in activities harmful to VTON BV's server or any other server connected to the internet, including but not limited to references to or offering of so-called 'pirated' software, 'hacker' programs, archives, or 'warez'-sites;
        
        commit any other criminal offenses, including spreading information that is contrary to public order or good morals or discriminatory in nature.
      2. If the obligations mentioned in this article are not met in a timely manner, VTON BV is entitled to suspend the performance of the agreement until the client has fulfilled these obligations. Any costs related to the delay incurred or the costs of performing additional work or other resulting consequences are at the expense and risk of the client.

Article 11. Duration and Termination of Services

The service agreement is entered into for 1 (one) year, unless otherwise stated in the quotation/accompanying email.
The registration period will be automatically renewed for the same period, unless terminated before May 1 of the current season. If not terminated on time, the fee for the entire period is due.
After terminating the cooperation, the client must return the borrowed materials within two weeks to VTON BV.
If VTON BV wishes to terminate the agreement, it will observe a notice period of 2 months and inform the client by email of the intended termination.
If the client acts in breach of their obligations, as set forth in these terms and conditions, VTON BV has the right to immediately close the client's account without prior notice and without being liable for any compensation.

Article 12. Complaints, Complaint Handling

Complaints about the services and/or website can be reported to VTON BV by the client in writing or by email.
A complaint must be reported to VTON BV as soon as possible after the occurrence of the incident leading to the complaint, stating all relevant information so that VTON BV can investigate the complaint and respond adequately, if necessary. All consequences of not reporting the complaint immediately are at the client's risk.
VTON BV will send the client an email confirmation of receipt of the complaint within 5 working days after receiving the complaint, informing the client of the further handling of the complaint.
If a complaint is justified, VTON BV is only liable within the limits of Article 13 of these general terms and conditions.

Article 13. Liability

VTON BV carries out its tasks as expected of a company in its industry, but accepts no liability for any damages, including death and personal injury, consequential damages, business losses, loss of profits, and/or operational disruptions, resulting from actions or omissions of VTON BV, its staff, or third parties engaged by him unless mandatory legal provisions prevent this.
The limitations of liability as stated in this article do not apply if the damage is due to intent and/or gross negligence of VTON BV, its management, and/or its supervisory staff.
Regardless of the provisions in the other sections of this article, VTON BV's liability, for any reason whatsoever, is limited to the invoice amount for the services provided.
Regardless of the provisions in the other sections of this article, the liability is always limited to a maximum of the amount of the payment that would be provided by VTON BV's insurer in the given case, as far as VTON BV is insured for this.
Even if VTON BV cannot deliver the agreed online services, VTON BV cannot be held liable unless the non-delivery of the relevant online services is the result of a serious attributable breach on the part of VTON BV falling within VTON BV's sphere of influence. The availability of the internet depends on the internet itself, VTON BV's service provider, and VTON BV's telecommunications provider. Consequently, the availability of the online services in specific cases is beyond the control and responsibility of VTON BV, therefore VTON BV will not accept any liability in this regard.
VTON BV relies on its providers to maintain and ensure the accessibility of the website. VTON BV will use its best efforts to remedy any disruptions in accessing the website and/or using the website as soon as possible; however, despite VTON BV's efforts, VTON BV cannot guarantee uninterrupted availability of the website, correct and undamaged data transmission, the full reliability and security of the website and/or the services.
VTON BV reserves the right, in order to resolve a malfunction, perform maintenance work, or make adjustments to the website, to temporarily disable the website. Where possible, VTON BV will announce and carry out the necessary (maintenance) work in the off-peak hours.
The client waives his rights against VTON BV, is liable for all damages, and indemnifies VTON BV against any claims for damages from third parties if, and insofar as:
1. 1. 1. the client did not inform VTON BV of the existence of the defect within 7 days of discovery of any defect or at such time that the defect could reasonably have been discovered, by sending a registered letter to VTON BV, to start an investigation;
    2. such damage is caused by the client's improper and/or non-compliant use of the services provided by VTON BV;
    3. such damage is caused by errors, omissions, or inaccuracies in data provided by or on behalf of the client to VTON BV;
    4. such damage is caused by instructions from or on behalf of the client to VTON BV; such damage is caused because the client himself or a third party acting on behalf of the client performed operations or activities on the delivered items without prior written permission from VTON BV.
  2. VTON BV asserts that the use of its apps and platforms is at the user's own risk. VTON BV is not liable for (physical) damage to the user (football club, coach, player, goalkeeper, and others) or damage to the devices used during the use of its apps.
  3. Users of VTON BV's services must always ensure a safe learning environment in the broadest sense and provide proper instruction to trainers. Trainers and players are responsible for safe sports in a safe environment (for example, not on a roof or a busy street).
  4. Liability of VTON BV, to the extent it falls outside the coverage of an insurance policy taken out by VTON BV, is excluded.
  5. The exclusion or limitation of liability in these terms and conditions also applies in favor of the staff of VTON BV and other helpers, whether or not under its direction involved in the execution of the Agreement, as well as any advisers engaged by VTON BV.
  6. Exclusions of liability in these terms and conditions do not apply in the event of intent or gross negligence of VTON BV.

Article 14. Payment

Payment is made via a digital invoice and must be made prior to the start of the service provision, unless the parties have expressly agreed otherwise in writing.
Payment can be made annually, semi-annually, or quarterly. Agreements on

Data Processing Agreement | VTON B.V.

This data processing agreement is an integral and inseparable part of the Cooperation Agreement. Therefore, this data processing agreement also applies the general terms and conditions and the Privacy Statement of VTON B.V. The User is given the opportunity to enter into the agreement below regarding the processing of personal data with VTON BV at the start of the cooperation. In the case of already ongoing partnerships, we assume that you agree with the data processing agreement. If this is not the case, we would like to hear from you by no later than July 1, 2018 by email: info@vton.nl

THE PARTIES

- User, the natural or legal person, acting in the exercise of a profession or business, with whom VTON BV has entered into an Agreement (Data Controller),

and

- VTON BV, with its statutory seat in Heerenveen and registered at the Chamber of Commerce under number 67155693 (Processor), hereinafter separately referred to as Party and jointly referred to as Parties,

CONSIDERING THAT:

Processor provides services a digital football methodology (the Services);
Data Controller wishes to use the services of Processor, whereby

Processor will process certain personal data on behalf of Data Controller;

Data Controller is designated as data controller within the meaning of privacy legislation, or where applicable, as processor within the meaning of privacy legislation, in which case Processor acts as a sub-processor;
Parties, also considering the requirements of privacy legislation, wish to document their rights and obligations in writing in this data processing agreement;
where terms from the General Data Protection Regulation (GDPR) are mentioned in this data processing agreement, they refer to the corresponding terms in the GDPR;

AGREE AS FOLLOWS:

Article 1. General

Processor undertakes, under the terms of this data processing agreement, to process personal data on behalf of the Data Controller. The processing will only take place within the framework of the execution of the Agreement, plus those purposes that are reasonably related to it or that are determined with further consent, and only on the basis of instructions from Data Controller. Data Controller will inform Processor in writing of the processing purposes to the extent that these are not already mentioned in the Agreement, Privacy Statement or this data processing agreement.
As part of the Agreement, Processor will process all personal data that may be stored when using the Services. The types of personal data include: i) First and last name; ii) Email address; iii) Telephone number(s) of the User; iv) IP Address; v) (Bank) account number; vi) name of the football club; vii) age.
Processor has no control over the purpose and means of processing personal data. Processor does not make independent decisions regarding the receipt and use of personal data, disclosure to third parties, and the duration of storage.

Article 2. Division of responsibility

2.1 The permitted processing will be carried out under the control of Processor within a (semi)automated environment.

2.2 Processor is solely responsible for processing personal data under this data processing agreement, in accordance with the written instructions of the Data Controller and under the explicit (final) responsibility of the Data Controller.

2.3 Processor is expressly not responsible for the other processing of personal data, including but not limited to collecting personal data by the Data Controller, processing for purposes not notified to Processor by Data Controller, and processing by third parties engaged by Data Controller. The responsibility for these processing activities lies with the Data Controller.

2.4 Data Controller guarantees that the content, use, and assignment of the personal data processing activities as referred to in this data processing agreement are not unlawful and do not infringe the rights of third parties, and indemnifies Processor against all claims and demands related thereto.

2.5 In cases where a data protection impact assessment or prior consultation of the supervisory authority

is mandatory for a new processing activity under this data processing agreement, Processor shall, as far as within its power, cooperate. Processor may charge reasonable costs to the Data Controller for this.

2.6 If required and necessary by law, Processor will cooperate with any audits carried out by the Data Protection Authority concerning a processing activity under this data processing agreement. Processor may charge reasonable costs to the Data Controller for this.

2.7 The obligations of Processor arising from this data processing agreement also apply to those processing personal data under the authority of Processor, including in any case the employees of Processor.

Article 3. Security

3.1 Processor will make efforts to take appropriate technical and organizational measures regarding the processing of personal data, to prevent loss or any form of unlawful processing (such as unauthorized access, alteration, disclosure, or destruction of personal data). The measures taken by Processor are published in the Privacy Statement on Processor's website. Both Parties consider these measures adequate and agree that they guarantee an adequate level of protection.

3.2 Due to the nature of the internet and technology, Processor does not guarantee that the security measures are always effective under all circumstances.

Article 4. Sub-processors

4.1 Data Controller hereby gives Processor permission to use subcontractors (sub-processors) in processing personal data under this data processing agreement, in compliance with the applicable privacy legislation. Processor will inform Data Controller upon request of the subcontractors he engages.

4.2 In the event that Processor intends to engage new sub-processors for the processing of personal data, Processor will, if reasonably possible, inform Data Controller in advance.

4.3 Processor ensures that sub-processors undertake similar obligations in writing as agreed between Data Controller and Processor.

Article 5. Transfer

5.1 Processor may process personal data in countries within the European Economic Area (EEA). In addition, Processor may transfer personal data to countries outside the EEA, provided that the relevant legal requirements are met.

5.2 Upon request, Processor will inform Data Controller to which country or countries the personal data will be transferred.

Article 6. Audit

6.1 Data Controller has the right to have audits conducted by an independent expert third party bound by confidentiality, to verify compliance with the agreements of this data processing agreement and all direct related matters.

6.2 The audit will only take place after Data Controller has requested, reviewed the relevant reports available to Processor, and provides reasonable arguments justifying an audit initiated by Data Controller. Such an audit is justified when the reports available to Processor do not provide sufficient clarity on compliance with this data processing agreement.

6.3 The audit initiated by Data Controller will take place no earlier than four weeks after prior announcement and no more than once per calendar year.

6.4 Processor will cooperate with the audit and provide all information reasonably relevant to the audit.

6.5 The findings resulting from the audit will be reviewed by the Parties in consultation. Changes will or will not be implemented based on the results of this review, either by one of the Parties or jointly by both Parties.

6.6 All audit costs, including those incurred by Processor, will be the responsibility of Data Controller.

Article 7. Notification obligation

7.1 In the event of a personal data breach as referred to in article 33 of the GDPR, Processor shall inform Data Controller thereof within 48 hours. Processor shall make best efforts to ensure that the information provided is complete, correct, and accurate.

7.2 If required by law and/or regulations, Processor will cooperate in informing the relevant authorities and/or concerned individuals. Data Controller will decide whether to inform the supervisory authorities and/or concerned individuals. Data Controller remains responsible for complying with any (legal) reporting obligations.

7.3 The notification obligation includes, at least, reporting the fact that there has been a breach, as well as, if available: i) the (alleged) cause of the breach; ii) contact details for follow-up on the notification; iii) approximate: the number of data subjects and records of personal data; iv) what is the (known and/or expected) consequence; v) what is the (proposed) solution; and vi) what measures have been taken so far.

Article 8. Data subjects' requests

8.1 In the event that a data subject addresses a request regarding his personal data to Processor, Processor will forward this request to Data Controller and Data Controller will further handle the request. If Processor's cooperation is necessary to handle such a request, Processor will provide reasonable assistance. Data Controller will reimburse Processor for the reasonable costs incurred or to be incurred in connection with this assistance.

Article 9. Confidentiality

9.1 All personal data that Processor receives from Data Controller and/or collects itself in the context of this data processing agreement is subject to a duty of confidentiality towards third parties.

9.2 This duty of confidentiality does not apply if Data Controller has expressly permitted the provision of information to third parties, if providing the information to third parties is logically necessary given the nature of the assignment and the performance of this data processing agreement, or if there is a legal obligation to provide the information to a third party.

Article 10. Duration and termination

10.1 This data processing agreement is established by signing of the Parties or approval via the website and will remain in force for the duration of the Agreement and in the absence thereof for the duration of the (further) cooperation.

10.2 Parties will cooperate fully to, if necessary, adjust this data processing agreement and make it suitable for any new or amended privacy legislation.

10.3 In the event of termination of the Agreement, this data processing agreement will also terminate automatically.

10.4 Prior to the end of the Agreement, or within 30 days after the end of the Agreement, Data Controller may make further agreements with Processor on what should happen with the personal data of the Controller that Processor may still have. Upon request of Data Controller, Processor will destroy the processed personal data or return it (in original or copy form) to Data Controller. Processor may charge Data Controller for this based on Processor's standard rates.

10.5 If within 90 days of the end of the Main Agreement, Data Controller has not indicated a desire to make further agreements with Processor regarding the

return or destruction of the personal data, Processor is entitled to destroy the personal data as of the 91st day after the Agreement has ended.

All the data you leave with us are stored in well-secured digital environments. Someone who has nothing to do with your data cannot access it.

If we share your data with someone else - you can read below why and when we do that - then we demand that the other party handles your data as carefully as we do and uses it only for the purpose for which they were received. Personal

Your data are used to monitor how you use our services. We use these statistics for monitoring purposes. We will also use your email address to send informative emails, surveys, or emails with offers for match tickets and invitations to events. Your data are only shared with the football association you are affiliated with for monitoring and statistics. In certain situations, we will share the data with our regional agent, who maintains contact with your association. The purpose is to monitor usage and improve it if necessary. Purely informative.

We can make adjustments to your data at your request. The association you are affiliated with can also do this. Furthermore, we use the data solely for invoicing towards your association. We expect your association to handle your data as carefully as we do.

Your account

For your account, we only use your name and email address, and we want to know which team(s) you train or coordinate. In most cases, someone within your association will store this data within the VTON application. By using the VTON application(s), we can see how often you, for example, download a training session. Such data provide us and your association with insights.

Customer Service

You can call, email, or chat with us from Monday to Friday from 8:30 am to 4:30 pm. On Fridays, we are less reachable in the afternoon.

To help you quickly with questions, we use your data and only make notes as needed, which we store in our well-secured digital environment.

Reviews

We love reviews. And so do our customers. If you want to write a review, choose yourself whether your personal data or your name should be visible to other visitors and whether we may contact you about your review. We keep track of who writes which review.

Contests

If you participate in a promotion or contest, we will ask for your name, address, email address, the name of your football association, and possibly also which team(s) you are affiliated with. This way, we can carry out the promotion and announce the prize winner(s). We also measure the response to our advertising campaigns in this way.

Fraud

No one wants fraud, including us. That's why we use customer data to investigate, prevent, and combat fraud. If necessary, we will provide customer data to the government.

Business Customers and Partner Program

We also store data of the contact person from our business customers and partners. If they are personal data, we treat this data just like that of our other customers.

Social Media

If you use social media, such as Facebook, Instagram, or others, you can, for example, react to messages, photos, and videos that we have published. We may respond to these by liking your response or asking a question.
